Recruitment Agency Terms and Conditions

​

These Terms and Conditions are established between Walter Everett, referred to as "the Agency," and the hirer, referred to as "the Client," which includes all subsidiary, associated companies, firms, and associations seeking to engage a permanent candidate, referred to as "the Applicant."

By requesting an introduction, conducting an interview (whether facilitated by the Agent or directly by the Client), in person, via telephone, email, or by signing the Terms and Conditions, the Client acknowledges acceptance of these Terms and Conditions. An 'introduction' includes interviews, acceptance of CVs or Applicant details via post, email, facsimile, or oral communication.

All introductions and Applicant details are confidential and provided to the Client with the understanding that they must maintain this information's confidentiality. The Client may not disclose it to any third party without prior written consent from the Agency.

 

The Agency will introduce or supply Applicants to the Client after receiving the following information:

  1. Details confirming the Client's personal and corporate identity and the nature of its business.

  2. The proposed start date and expected work duration.

  3. The position the Client wishes to fill.

  4. Applicant's responsibilities.

  5. Work location, hours, and potential health and safety risks, along with risk assessment documents.

  6. Details of the Applicant's experience, training, qualifications, and any required authorizations.

  7. Information about expenses payable to or by the Applicant.

  8. Minimum remuneration, benefits, and payment intervals.

  9. Notice period for the Applicant.

  10. Agreement from the Client that it is aware of all legal and/or professional requirements.

  11. Agreement that the Agency can disclose information to its officers and employees and authorize them to disclose it to introduced Applicants.

Fees apply for engaging an Applicant resulting from an introduction, even if made indirectly. These fees are payable if the Applicant is engaged for any position or re-applies within one year from the introduction date.

If the Client engages an employee of the Agency within six months, they become liable for a fee, as per clause 12. No rebate applies in this case.

The Agency ensures Applicant suitability but does not personally establish references. The Client is responsible for checking references, including professional or academic qualifications, and obtaining necessary permits and qualifications required by law.

The Agency is not liable for losses, injuries, damage, costs, expenses, or delays, directly or indirectly, arising from the introduction of an Applicant. The Agency's liability is limited to its commission for the introduction.

The Client shall indemnify the Agency against claims arising from losses, injuries, damages, costs, expenses, or delays incurred by an Applicant, as well as claims from third parties related to the introduction of an Applicant.

Introduction fees are due immediately upon engagement, and invoices are subject to VAT. Late payment may result in interest and debt recovery costs as per the Late Payment of Commercial Debts (Interest) Act 1998.

The Agency may offer rebates if the engagement terminates within 12 weeks of the engagement date and the Client does not re-engage the Applicant within one year. Entitlement to credit must be claimed within seven days of termination. The fee must be paid in full within fourteen days of engagement.

The Agency endeavors to supply an Applicant but does not guarantee the accuracy of information. The Client is responsible for assessing suitability and engaging the Applicant, including checking references.

The Client must ensure it holds necessary licenses, permits, and consents for the work the Applicant is required to perform.

The Client must verify that the Applicant has the required qualifications, licenses, capability, integrity, and suitability unless legally required otherwise.

The Agency does not warrant the Applicant's ability.

​

The Client is responsible for ensuring compliance with health and safety and other legislation, supervision, direction, control, and arranging any necessary insurance coverage.

No variation of these Terms and Conditions is valid unless approved in writing by a director of the Agency.

The Agency does not act as the Client's agent in entering contracts with Applicants unless specifically authorized in writing.

The Client must provide complete and accurate written details of the Applicant's total remuneration upon demand and warrants the accuracy of these details.

These Terms and Conditions are governed by the laws of England and Wales, and the Client submits to the non-exclusive jurisdiction of the English and Welsh courts for any claims or matters arising from these Terms and Conditions.
